Merchant Agreement

This Merchant Agreement applies to businesses ("Merchant", "you") that register for a merchant account on Local Commerce OS, operated by Local Commerce OS.

1. Your account

You must provide accurate business information and keep your login secure. New accounts may require approval before going live. You are responsible for your staff accounts.

2. Your responsibilities

  • Sell only lawful goods and services you are entitled to sell, described accurately with correct pricing.
  • Fulfil orders and honour the loyalty points, stamps, vouchers, and coupons you issue.
  • Provide customer service and handle cancellations/refunds fairly and lawfully.
  • Comply with all applicable laws, including consumer protection and data protection.

3. Prohibited products

You may not offer illegal, counterfeit, hazardous, or age-restricted items in breach of law, or anything we reasonably prohibit.

4. Your customers' data

When customers join your rewards or buy from you, you receive their personal data to serve them. You are responsible for handling it lawfully under the PDPA 2010 — use it only to serve those customers and your own marketing where they consented, keep it secure, and honour their requests. We process such data on your behalf to operate the Platform.

5. Fees

Any subscription, package, or commission fees are as separately agreed with you. Taxes are your responsibility.

6. Content & QR codes

You grant us a licence to host and display your business content and to generate QR codes and pages for your shop. Your content remains yours.

7. Suspension & termination

We may suspend or terminate a merchant account that breaches this agreement or the law. You may close your account at any time; obligations to customers with open orders or unredeemed rewards survive closure.

8. Liability & indemnity

You are responsible for your products, services, and dealings with customers, and you agree to indemnify us for claims arising from them, to the extent permitted by law.

9. Governing law
